British American Tobacco has a challenging position as a Legal Counsel (Corporate) in Kiev, Ukraine.

Position overview:

• To provide day-to-day legal advice to various departments of the Company;
• To ensure the timely delivery of legal services to the Company in relation to its matters;
• To contribute to the compliance of the Company to current legislation and internal BAT procedures.

Main responsibilities:

• Revision of agreements (both local and international), being prepared by different departments of the Company, ensuring they are fully compliant with internal contract management procedure and current legislation. Providing legal advice regarding execution of agreements;
• Revision, assisting in preparation and renewal of internal company policies and procedures;
• Assisting line manager in preparation and sole preparation of claims to the counterparties of BAT;
• Assisting HR department in revision of internal orders, job descriptions etc. Providing different legal consultancy in regards of current labor legislation;
• Assisting line manager in various matters, such as collaboration with external legal advisers in terms of litigation cases (commercial, labor), collaboration with HR department in terms of disciplinary cases assessment;
• Ensuring the duly registration of cigarette warehouses, obtaining necessary licenses, other permissive documents for the Company;
• Support line manager in all corporate governance activities in terms of corporate affairs, conducting General Shareholders meetings, meeting of the Participants, drafting minutes, reviewing the Company Charter and the statutory documents in accordance with legislation or Company changes;
• Assisting Finance department in terms of preparation of necessary corporate governance documentation,
• Participation in cross-functional issues and projects within Legal and External Affairs department;
• Management of electronic document flow system in cooperation with IT department. Providing respective trainings for the employees who are involved in contract management process

Essential requirements:

• University degree in Law (Specialist or Master)
• At least 1 year of experience in: contract law (including deep understanding of civil, commercial and international law), labor law; corporate law - will be considered as an advantage;
• Fluent Ukrainian, English - upper-intermediate;
• PC user: Microsoft Office, Legal database;
• Excellent analytical skills;
• Excellent negotiation skills with different levels of stakeholders (both internal and external);
• Team player, result-oriented.
